The tax audit deadline moved to 21 October — but only for some, and the tax-payment date did not move with it

CBDT Circular No. 07/2026 gives most audited businesses three extra weeks — 21 October for the audit report and 21 November for the return — but transfer pricing cases are left out, and the circular does not move the date for paying tax.

In brief
  • CBDT Circular No. 07/2026 (28 September 2026) moves the tax audit report date for AY 2026-27 from 30 September to 21 October 2026, and the ITR date for the same audited taxpayers from 31 October to 21 November 2026.
  • It covers companies and audited firms/proprietors and their working partners. Cases that need Form 3CEB (transfer pricing, Section 92E) are not covered and keep 31 October (audit report) and 30 November (return).
  • Reports on the circular do not agree on whether Section 234A interest on unpaid tax starts after 31 October or after 21 November. The safe course: estimate your balance tax and pay it by 31 October anyway.
  • Advance-tax interest (Sections 234B/234C) is not affected, and a formal order giving effect to the extension was said to follow separately — so do not treat 21 October as a reason to start the audit late.

Pay the estimated balance tax by 31 Oct; advance-tax interest (234B/234C) is unchanged.
Old date against new date: the extension covers most audited taxpayers, but transfer pricing cases stay exactly where they were.

A Ring Road textile trader with a ₹9 crore turnover had told his bookkeeper to have everything ready for the 30 September audit date. On 28 September the CBDT moved it. His first reaction was relief; his second, a fortnight later, was to ask whether that meant he could also pay his remaining tax three weeks later. The honest answer to both depends on details the headlines skipped.

What Circular 07/2026 changes

Under Section 44AB of the Income-tax Act, a business whose turnover or profile requires a tax audit must get the audit report (Form 3CA or 3CB, with Form 3CD) before a "specified date". That date is linked to the return due date in Section 139(1). In plain terms: the audit report is due one month before the return. For AY 2026-27 the CBDT, using its power under Section 119, has moved the return date for the covered group from 31 October to 21 November 2026, and with it the audit report date from 30 September to 21 October 2026. Example: the trader above, whose books were audited-ready only by mid-October, now files the Form 3CD on or before 21 October without a late-audit penalty risk, and his return by 21 November.

A formal order giving effect to the extension was announced as following separately, so keep an eye on the Income Tax Department's site for it.

Who is covered — and who is not

The circular applies to the persons listed at serial number 2 of the table in Explanation 2 to Section 139(1): companies, and other assessees whose accounts must be audited, including the working partners of audited firms. Example: a Surat partnership firm with a ₹6 crore turnover and its two working partners are covered, so partners who would normally file by 31 October now have until 21 November.

It does not cover cases where Section 92E applies — that is, where an international or specified domestic transaction needs Form 3CEB. Those keep 31 October for the report and 30 November for the return. Example: a diamond exporter selling to a related overseas company stays on the old dates. Taxpayers who do not need an audit at all are untouched by this circular; their dates remain 31 July or 31 August, depending on the ITR form.

Does your business need a tax audit under Section 44AB? NO YES Not affected by this circular ITR-1 / ITR-2: 31 July ITR-3 / ITR-4 (no audit): 31 August Does Form 3CEB apply (Section 92E)? NO YES Extended Audit report: 21 Oct 2026 Return: 21 Nov 2026 Not extended Audit report: 31 Oct 2026 Return: 30 Nov 2026
Two questions decide your date: does the business need an audit, and does Form 3CEB apply.

A later return date is not a later tax-payment date.

Tax payment and interest: do not assume

Section 234A charges interest at 1% a month on tax that is still unpaid when the return date passes. Whether that clock now starts after 31 October or after 21 November is where published commentary on the circular differs, and the circular as reported does not clearly say. In plain terms: until that is settled, treat 31 October as the date by which any balance tax should already be paid. Example: if the trader's computation shows ₹3 lakh still payable, paying it as self-assessment tax by 31 October costs nothing extra; if the interest start turns out to be 21 November, he has simply paid three weeks early. If he waits and the earlier date applies, he pays 1% a month on ₹3 lakh from 1 November — ₹3,000 per month. Interest for shortfalls in advance tax under Sections 234B and 234C is not changed by the extension. Section 234F late fee applies only if the return misses the new date.

Do not use the extra weeks to start late

Three weeks is useful if your books are nearly ready; it is a trap if you were planning to begin the audit in October. The auditor needs stock records, bank confirmations, TDS and GST reconciliations and party balances. Example: a Surat embroidery unit whose stock list and creditor confirmations arrive on 19 October leaves the auditor two days — the extra time only helps if the inputs were close to ready already. Also remember that the audit report is filed electronically, and the return for audited cases cannot be completed without it.

Key takeaways

  • Audited taxpayers other than Form 3CEB cases: audit report 21 October 2026, return 21 November 2026.
  • Form 3CEB cases: still 31 October and 30 November.
  • Pay estimated balance tax by 31 October until the interest position is confirmed.
  • Check the Income Tax Department's site for the formal order, and keep audit preparation on its original schedule.
