"હવે હું શું કરું?" તેણે પૂછ્યું. પ્રામાણિક જવાબ હતો: એવું કંઈક જે તે અઢાર મહિના પહેલાં કરી શક્યો હોત, અને લગભગ કોઈ કરતું નથી.

એ ખાડો — કાયદો supplier ને શું કરવાની છૂટ આપે છે અને suppliers ખરેખર શું કરે છે તેની વચ્ચેનો — Rajya Sabha માં 28 July 2026 ના રજૂ થયેલ Bill પાછળની અસલી વાર્તા છે. તે હજુ કાયદો નથી. એક પણ clause અમલમાં આવે તે પહેલાં તેને બંને Houses પસાર કરવા અને રાષ્ટ્રપતિની મંજૂરી મળવી જરૂરી છે, અને તેની કોઈ જાહેર સમયરેખા નથી. પણ અત્યારે સમજવા જેવું છે, કારણ કે તે સંપૂર્ણપણે એ મુદ્દા આસપાસ બનેલું છે જ્યાં હાલનો કાયદો પહેલેથી કામ કરે છે — અને કામ કરવાનું બંધ કરે છે.

ગયા અઠવાડિયે સંસદે ખરેખર શું કર્યું

Union MSME Minister Jitan Ram Manjhi એ Micro, Small and Medium Enterprises Development (Amendment) Bill, 2026 રજૂ કર્યું, જે MSMED Act, 2006 માં સુધારો કરશે. અહેવાલ મુજબ, તેનું ધ્યાન મોડી ચૂકવણી અને arbitral awards ના અમલ પર છે — નવી subsidy યોજનાઓ કે નવા registration ફરજ પર નહીં. એ માળખું મહત્વનું છે: આ collection વિશેનું Bill છે, એ તબક્કા પર કેન્દ્રિત જ્યાં supplier કાગળ પર જીતી ચૂક્યો હોય અને છતાં પૈસા ન મળે.

45-દિવસનો નિયમ પહેલેથી અસરકારક છે

MSMED Act, 2006 ના section 15 હેઠળ, લેખિત કરાર હોય તો ખરીદદારે micro કે small supplier ને સ્વીકૃતિના 45 દિવસમાં ચૂકવવું પડે, અને કરાર ન હોય તો 15 દિવસમાં — અને કોઈ કરાર તેને 45 દિવસથી આગળ લંબાવી શકે નહીં. બે બાબતો એ deadline ને બળ આપે છે. પહેલું, Income-tax Act ના section 43B(h) હેઠળ, જે ખરીદદાર window ચૂકે તે એ વર્ષે એ ખર્ચ deduct કરી શકતો જ નથી — deduction ફક્ત એ વર્ષે મળે જ્યારે રકમ ખરેખર ચૂકવાય. બીજું, હવે આ Form 3CD ના Clause 22 માં હોવાથી, ખરીદદારના પોતાના tax auditor ને tax audit report માં બાકી રકમ જાહેર કરવી પડે છે. Supplier નહીં, પણ ખરીદદારનો accountant જ tax department ને default જણાવે છે.

આ બંને રક્ષણ ત્યારે જ લાગુ પડે જ્યારે supplier Udyam હેઠળ micro કે small enterprise તરીકે registered હોય. એ એક જ શરત એવી છે જ્યાં suppliers નો મોટો હિસ્સો દલીલ શરૂ થાય તે પહેલાં જ હારી જાય છે — ઘણા હજુ વર્ષો સુધી register કર્યા વગર trade કરે છે, એમ માનીને કે GST registration પૂરતું છે. તે પૂરતું નથી.

કાયદાનો સૌથી મોટો ખાડો 45-દિવસની deadline નથી. એ છે કે supplier જીત્યા પછી અને ખરીદદાર છતાં ચૂકવવાની ના પાડે ત્યારે શું થાય છે.

તાકાત ખરેખર ક્યાં અટકે છે

જો ચૂકવણી ન આવે, તો supplier વિવાદ રાજ્યની Micro and Small Enterprises Facilitation Council ને section 18 હેઠળ મોકલે છે — પહેલાં conciliation, પછી નિષ્ફળ જાય તો arbitration, 90-દિવસની statutory ઘડિયાળ સાથે. વ્યવહારમાં એ ઘડિયાળ નિયમિતપણે વટાવાય છે; councils પાસે ઓછો staff છે અને conciliation લંબાય છે. છતાં, ખરેખર file થયેલા મોટાભાગના વિવાદો આખરે award માં પરિણમે છે.

સાધનસંપન્ન ખરીદદારો પછી શું કરે તે ભાગ મોટાભાગના suppliers ઓછો આંકે છે: Arbitration and Conciliation Act ના section 34 હેઠળ award ને પડકારવો. Today — section 19 Buyer deposits 75% to challenge the award — mandatory. Court "may" release part of that deposit to the supplier while the case is pending — discretionary, no fixed share, no deadline. Result: money commonly sits with the court for years. Proposed by the Bill Same 75% deposit requirement to admit the challenge. If the challenge is still pending after six months, courts must order at least 50% of the award paid out to the supplier. Result: a floor, not a favour — supplier gets paid while it runs.
